PROMISE13 SEARCH LEADER

Not Afraid to Get His Hands Dirty

Matt is searching for one established business to buy and run, not flip in a few years. If you’ve spent a career building something, we’d like to be the buyer you trust to carry it forward.

We’re acquiring one company for Matt to lead day to day and own for the long term, with no timeline to sell. The plan is to keep your name, your people, and the standards that earned your customers, and to grow on top of that foundation.

Professional Background & Track Record

CPA and Multi-State Operator: Matt is a CPA and a multi-state operator from Cleveland, with fifteen years across sales, finance, and operations. For over five years he led Affinity Whole Health, running finance, operations, sales, hiring, and technology. In that time he grew sales 138%, scaled profit 5x, expanded the company from a single state into multiple, and held voluntary departures to one in two years. Before that he advised CFOs and business owners on multi-million-dollar plans and trained in audit, tax, and valuation.

An Operator Who Reads the Financials: A licensed CPA across audit, tax, and valuation, with a background in Fortune 500 sales. Diligence will be thorough and straight, and you’ll deal with someone who understands your statements the way you do.

Multi-State Leadership: Matt has run operations across Cleveland, Columbus, Indianapolis, and Chicago at once. A business spread across branches and job sites is exactly the environment he already knows how to manage.

Technology That Adds Capacity, Not Pink Slips: Matt used technology to free his team from 100+ hours of manual data entry a month, redeploying that time to service customers, not cutting jobs. We plan to bring this playbook to the business we acquire.

Built for Hard Work: Matt grew up working jobs in warehouses, sales, restaurants, and on construction sites. He’s not afraid of hard work, and just as comfortable in the field as in the office.

Our Approach: Built to Operate, Not to Exit

Many buyers in the market are funds. They raise capital, buy several companies, cut costs, and sell in three to five years. That’s a legitimate model. It just isn’t ours.

Held for Years, Not Flipped: No clock running toward a sale. Matt plans to run this business well past any private-equity holding period.

People and Reputation Kept Intact: The team and the name stay. Growth comes from doing more of what already works, not from gutting it.

Ideal Acquisition Profile

PromiseONE is actively seeking to acquire an established business for Matt to operate for the long term. If your business looks like this, or you advise an owner whose business does, let’s talk.

Financial Criteria

  • Revenue: $5M – $20M
  • EBITDA: $1M – $3M
  • Proven & Established: A long operating history and durable profitability; an established business, not an early-stage startup

Industry & Business Model

  • Focus: B2B specialty services. Examples include maintenance & field services, testing & inspection, specialty distribution, light manufacturing, or healthcare-adjacent services. Open opportunistically to other industries
  • Healthy Culture: A team and values worth building on, not turning around
  • Recurring Revenue: Repeat or contracted revenue, not one-time projects
  • Loyal Customers: Sticky relationships and low customer concentration
  • Durable Demand: Essential, non-discretionary work needed in any cycle
  • Defensible: Reputation, switching costs, or expertise that resist commoditization

Geography

  • Within 3 hours of Cleveland (Ohio, western Pennsylvania, northern West Virginia, eastern Michigan), as well as a one-hour flight from Cleveland

Deal Structure & Readiness

  • Structure: Majority acquisition. Open to seller rollover equity if you’d like to stay invested in the upside
  • Transition: A 3–12 month owner transition, on your terms. Stay involved or step back
  • Ready to Move: Equity committed and not contingent on fundraising; financed with SBA and conventional senior debt with a possible seller note. Prepared to close within 60–90 days of a signed LOI
  • Straightforward to Work With: Backed by investors and advisors who have completed 20+ private business acquisitions, plus experienced lenders. We move quickly, communicate clearly, and don’t retrade a deal we’ve agreed to

What to Expect

A straight, confidential process, in four steps on your own timeline. Matt is the buyer and the decision-maker, so answers come quickly. We work just as easily through your broker or advisor as we do directly with you. No obligation at any point.

  • A first conversation: A confidential call to understand your business and what you want for it
  • An honest look: Matt looks at the business the way a buyer who’s also a CPA does, clearly and quickly. Then we come back with a fair offer and a straight explanation of how we reached it
  • A structure that fits you: Step away cleanly or roll over equity. We shape the deal around your goals, not a template
  • A careful handoff: A transition that protects your team and customers while Matt takes the reins

If you’ve built something worth carrying forward, we’d like to hear about it. Whether you’re an owner thinking about what’s next or an advisor with a business that fits, every conversation is confidential and there’s no obligation.
